1. Who we are
These Terms of Service (“Terms”) apply to your use of https://vidaphone.shop (the “Site”) and to wholesale inquiries and orders placed with Vidaphone (“we”, “us”, or “our”).

2. Business customers
The Site and our wholesale program are intended for businesses (for example retailers, repair shops, and resellers), not for typical consumer retail purchases.
Wholesale pricing is not published publicly. Quotes, stock confirmation, and order acceptance follow business approval and our written confirmation (email or WhatsApp).
3. Minimum order quantity
Unless we agree otherwise in writing, the minimum order quantity (MOQ) is 10 units per order. Mixed models, grades, and storage options may be combined to meet the MOQ.
Inventory, grades, and lead times change. A listing on the Site is not a guarantee of same-day stock.
4. Product descriptions and grading
Devices are sold as certified pre-owned units with cosmetic and functional grading (for example A / B / C) as described at the time of quote.
Battery health, accessories, and packaging details are as stated in our quote or packing list. Accessories are not included unless we confirm them in writing.
Images on the Site are illustrative. You should rely on the grade, storage, and condition stated in the confirmed order.
5. Quotes, orders, and payment
A quote is an invitation to negotiate unless we state that it is a firm offer with an expiry time.
An order is binding only after we confirm it in writing and, where required, after payment or deposit terms are met.
Accepted payment methods may include bank transfer and other methods we specify. Title to goods passes according to the Incoterms or shipping terms stated on the invoice or confirmation.
6. Shipping and delivery
Shipping options, costs, and estimated timelines depend on destination and carrier. Risk of loss passes as stated in the shipping terms we confirm with you.
You are responsible for import duties, taxes, and local compliance in the destination country unless we agree otherwise in writing.
7. Warranty and returns (RMA)
Unless a quote or invoice states otherwise, devices are covered by our published warranty period (currently about 30 days from delivery) for functional defects under normal use, subject to our RMA process.
Cosmetic wear consistent with the sold grade, damage after delivery, unauthorized repairs, liquid damage, and missing units are typically excluded.
To start an RMA, contact sales@vidaphone.shop or +852 4641 6474 promptly with order details, device identifiers, and a description of the issue. Do not return goods without our RMA authorization.
8. Acceptable use of the Site
You agree not to misuse the Site, attempt unauthorized access, scrape in a way that harms service integrity, or submit false inquiry information.
We may suspend access or refuse orders if we reasonably believe these Terms are breached.
9. Intellectual property
Site content, branding, and materials belong to Vidaphone or its licensors. You may not copy or reuse them for commercial purposes without our prior written consent, except for fair dealing or other rights allowed by law.
Apple, iPhone, and related marks are trademarks of their respective owners and are used only to identify compatible products.
10. Disclaimers and limitation of liability
The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by Hong Kong law, we disclaim warranties not expressly stated in a confirmed order or warranty policy.
To the fullest extent permitted by law, our total liability arising from any order is limited to the amounts you paid us for the affected units. We are not liable for indirect, incidental, or consequential losses (including lost profits), except where liability cannot be limited by law.
11. Privacy
How we handle personal data is described in our Privacy Policy at /privacy.
12. Governing law
These Terms are governed by the laws of Hong Kong Special Administrative Region. Courts of Hong Kong have exclusive jurisdiction, without limiting any mandatory consumer or other protections that may apply where they cannot be waived.
13. Changes
We may update these Terms from time to time. The “Last updated” date below will change when we do. Continued use of the Site after changes constitutes acceptance of the updated Terms for future use of the Site. Confirmed orders remain subject to the terms stated at confirmation.
